Proxy Battle Decision Looms As The Walt Disney Company Pulls Ahead in Votes

The ongoing proxy battle between The Walt Disney Company, Trian Partners, and Blackwells Capital is entering the home stretch.

The Annual Shareholders meeting takes place tomorrow, April 3rd, 2024. The meeting begins at 1pm ET and will be broadcasted live via webcast. Here, shareholders will have the opportunity to vote for Disney’s next Board of Directors, choosing between nominees from the aforementioned parties: Disney, Trian, and Blackwells.

Ahead of the meeting, The Wall Street Journal reports that Disney is currently winning the proxy battle. More than half of the votes have been cast at this point, but this does not mean that Disney will necessarily prevail.

The Walt Disney Company is battling Trian Partners and Blackwells Capital for two seats on the company’s board. Blackwells Capital has lost some steam in the battle, but Trian Partners is continuing their push. Trian Partners argues that the Disney has not delivered strong returns for investors and seeks to change that with the addition of Nelson Peltz and Jay Rasulo to the company’s board.

Shareholders can still change their votes through the meeting the meeting, and additional votes have yet to be cast. At this point, while The Walt Disney Company is currently leading, there is no clear winner. Only a few days ago, Trian Partner’s Nelson Peltz was beating out Disney director Maria Elena Lagomasino in votes, so we will be watching the meeting closely to see what happens.

Both Trian Partners and The Walt Disney Company have found support for their bid for seats. The Walt Disney Company has seen support from George Lucas, Josh Gad, Michael Eisner, Laurene Powell, and others.  Trian Partners has received support from Neuberger Berman, the California Public Employees’ Retirement System, former CEOs of Wendy’s, P&G, GE, and others.

The Wall Street Journal also reports that this is expected to be one of the most expensive proxy battles of all time. Both companies have spent millions of dollars reaching out to attempt to sway shareholders. The proxy battle will come to a conclusion tomorrow during the Annual Shareholder meeting.
